Terms of Service

1. Acceptance of Terms

By creating an account or using any of the Chaos Constellation applications (Focus, Resonate, Capture, Growth, Trader, our desktop applications, the Chaos API, and any related websites or services, collectively the "Services"), you agree to these Terms of Service ("Terms"), our Privacy Policy, and Apple's App Store Review Guidelines (incorporated by reference for iOS apps).

2. Description of Service

Chaos Constellation LLC ("we," "us," or "our"), a Texas limited liability company, provides web, mobile, and desktop applications for productivity (task management, note-taking, etc.), social networking features (posting, sharing, voting, commenting, following, etc.), and informational tools including financial data visualization. All apps use a single unified login.

Our Services also include a public API ("Chaos API") that enables programmatic access to certain platform features. Use of the API is subject to these Terms, any additional API-specific documentation, and applicable rate limits and usage policies.

Trader is an options trading data visualization tool that displays market data, options analytics, and derived calculations for informational purposes only. For important disclaimers and limitations regarding Trader, please see Sections 6 through 10 of these Terms.

3. Eligibility

You must meet the following age requirements to use the Services:

  • General Services (Focus, Resonate, Capture, Growth, desktop applications, Chaos API): You must be at least 13 years old (or the minimum age required in your country). If you are under 18, you represent that you have your parent or guardian's permission to use the Services.
  • Trader: You must be at least 18 years old and have the legal capacity to enter into a binding agreement to access or use Trader. We may use age verification mechanisms to enforce this restriction.

For creator or user-generated content exceeding the app's age rating, we use verified or declared age mechanisms to restrict access.

4. Account Registration

  • You will create one account that works across all Chaos Constellation apps.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
  • You agree to provide accurate, current, and complete information and to keep it updated.
  • Account Deletion: You may initiate deletion of your account (and associated data) at any time via the in-app settings menu. Deletion will be processed within 30 days (or sooner where possible), except for data we are required by law to retain. We will confirm completion via email. Partial deletions (e.g., specific data types) may be available where feasible.

5. User Content

You retain ownership of content you post ("User Content"). By posting, you grant Chaos Constellation LLC a worldwide, non-exclusive, royalty-free, transferable license to use, store, display, reproduce, modify, and distribute your User Content solely to operate, improve, and provide the Services.

We may use User Content to train AI models only with your explicit consent (e.g., via opt-in settings). You represent that your User Content does not violate these Terms or any laws.

Public Thoughts and Shared Content

When you choose to share a "Thought" or any content publicly on the network, you acknowledge and agree that:

  • Public Visibility: Your publicly shared content becomes visible to all users on the Chaos Constellation platform. Once shared publicly, other users may read, interact with, and reference your content.
  • AI Training and Product Enhancement: By sharing content publicly, you grant Chaos Constellation LLC the right to use such public content to train AI models, develop new features, improve recommendation algorithms, and enhance our products and Services. This license is perpetual, irrevocable, and royalty-free.
  • No Expectation of Privacy: Publicly shared content should not be considered private. You should only share publicly what you are comfortable making available to the entire network and for the purposes described herein.
  • Aggregated Insights: We may aggregate, anonymize, and analyze publicly shared content to generate insights, trends, and analytics that benefit the platform and its users.

6. Nature of Service — Trader

Trader is an informational data visualization tool only. By using Trader, you acknowledge and agree to the following:

  • Trader does not execute, facilitate, or broker any trades or transactions in securities, options, or any other financial instruments.
  • Trader does not accept, hold, transfer, or manage any user funds or assets.
  • Trader does not provide personalized investment advice, recommendations, or solicitations to buy, sell, or hold any security or financial instrument.
  • Chaos Constellation LLC does not act as a broker-dealer, investment adviser, or fiduciary, and is not registered with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), or any state securities authority as a broker-dealer or investment adviser.
  • Use of Trader does not create an adviser-client, fiduciary, or any other professional relationship between you and Chaos Constellation LLC.
  • All data, analytics, calculations, and visualizations displayed in Trader are generated by automated algorithms that may contain errors, bugs, or inaccuracies.
  • The underlying market data used in calculations and displays may be outdated, delayed, or incorrect at the time of display.
  • Nothing displayed in Trader should be construed as investment advice, a recommendation, or a solicitation.

7. Third-Party Data and Accuracy

Certain Services, particularly Trader, display data obtained from third-party sources and present derived calculations based on that data. Both the underlying data and the resulting calculations may be inaccurate, incomplete, or unreliable due to:

  • Data delays or staleness in third-party feeds
  • Pricing feed errors or omissions from data providers
  • Model limitations or software bugs in our algorithms
  • Changes in market conditions between the time data is retrieved and the time it is displayed
  • Differences between theoretical models used in calculations and actual market pricing, execution, and behavior

Chaos Constellation LLC makes no representation or warranty that any data, calculation, projection, or strategy analysis displayed in the Services is accurate, current, reliable, or complete. Third-party data is provided "as is" by its respective providers, and we disclaim all responsibility for errors, omissions, or delays originating from those sources.

8. Hypothetical Returns and Calculations Disclaimer

ALL OPTION STRATEGY CALCULATIONS, POTENTIAL RETURN PROJECTIONS, AND RELATED ANALYTICS DISPLAYED IN THE SERVICES ARE HYPOTHETICAL AND BASED ON MATHEMATICAL MODELS. THEY DO NOT REPRESENT ACTUAL TRADING RESULTS AND DO NOT ACCOUNT FOR COMMISSIONS, FEES, BID-ASK SPREADS, SLIPPAGE, EARLY ASSIGNMENT RISK, LIQUIDITY CONSTRAINTS, OR CHANGING MARKET CONDITIONS. THE AUTOMATED ALGORITHMS GENERATING THESE CALCULATIONS MAY CONTAIN ERRORS OR BUGS. ACTUAL RESULTS MAY DIFFER MATERIALLY FROM ANY HYPOTHETICAL PERFORMANCE OR PROJECTIONS SHOWN. PAST PERFORMANCE, WHETHER ACTUAL OR HYPOTHETICAL, IS NOT INDICATIVE OF FUTURE RESULTS.

9. User Obligation to Independently Verify

You are solely responsible for independently verifying all data, calculations, option pricing, strategy parameters, and any other information displayed in the Services before making any investment or trading decision. You agree to the following:

  • You will verify all data and calculations using your own brokerage platform, trading application, or other independent sources before placing any trade.
  • The Services, including Trader, are a research starting point only and are not a substitute for real-time data, risk analysis, and execution tools available through a licensed broker.
  • You agree not to execute any trade based solely on information displayed in the Services without independent verification.

10. User Responsibilities

By using the Services, particularly Trader, you acknowledge and agree that:

  • Options trading and investing in securities involves substantial risk of loss, including the potential loss of your entire investment, and is not suitable for all investors.
  • You are solely responsible for your own investment and trading decisions and for determining whether any investment, strategy, or related transaction is appropriate for you based on your personal objectives, financial circumstances, and risk tolerance.
  • You should consult with a licensed financial advisor, broker, or other qualified professional before making any investment or trading decisions.
  • Chaos Constellation LLC bears no responsibility for any financial losses or adverse outcomes resulting from your use of the Services or any investment decisions you make.

11. Prohibited Conduct

You agree not to:

  • Post illegal, harmful, abusive, defamatory, obscene, hateful, or NSFW content (e.g., pornography, threats, bullying)
  • Harass, threaten, or impersonate other users or entities
  • Upload viruses, malicious code, or spam
  • Scrape, spider, or automate access to the Services except through our official API within documented rate limits
  • Violate any applicable law, third-party rights, or Apple's App Store Review Guidelines (e.g., Guideline 1.2 on objectionable content)

We employ automated filtering, user reporting, and human moderation to enforce this. Violations may result in content removal, account suspension/termination, and reporting to authorities.

11A. API and Programmatic Access Abuse

Use of the Chaos API, desktop applications, or any programmatic means to access our Services is subject to strict usage policies. The following activities are expressly prohibited and constitute grounds for immediate account suspension or termination:

  • Automated Abuse: Using bots, scripts, or automated tools to generate excessive content (e.g., creating hundreds or thousands of Thoughts per day), artificially inflate votes, manipulate rankings, or overwhelm our systems.
  • Rate Limit Circumvention: Attempting to bypass, circumvent, or exceed documented API rate limits through any means, including but not limited to using multiple accounts, rotating credentials, or distributed requests.
  • Vote Manipulation: Employing bots, scripts, or coordinated behavior to artificially upvote, downvote, or otherwise manipulate the voting system.
  • Spam and Bulk Operations: Mass-creating accounts, content, comments, or any other platform objects beyond reasonable personal or authorized business use.
  • Denial of Service: Any activity intended to degrade, disrupt, or overwhelm our servers, infrastructure, or other users' experience.
  • Unauthorized Data Collection: Systematic scraping, harvesting, or collecting of user data, content, or platform information beyond what is permitted through the API.
  • Reverse Engineering: Attempting to reverse engineer, decompile, or derive source code from our applications, API, or related systems.

Violation of these provisions will result in immediate suspension or permanent termination of your account and API access, forfeiture of any active subscription without refund, and may result in legal action. We reserve the right to pursue all available remedies, including claims for damages and injunctive relief.

12. User-Generated Content Moderation (for Social Features)

For apps with sharing/voting (Resonate, Capture, Growth):

  • All posts are scanned via automated tools for objectionable material before visibility.
  • Users can easily report abusive content via in-app flags; we review and respond within 24-48 hours.
  • Blocking: Users can block others, hiding their content from view.
  • We prohibit unmoderated mature content; age-gated sections require verification.

Failure to comply with moderation may lead to app rejection/removal by Apple.

13. Termination and Account Suspension

We may suspend or terminate your account at any time for violation of these Terms or for any other reason with or without notice. Upon termination, you must cease using the Services.

Grounds for Suspension or Termination

Without limiting the foregoing, we expressly reserve the right to suspend or terminate accounts and revoke access to any or all Services, including API access and subscription privileges, for:

  • Any violation of Section 11 (Prohibited Conduct) or Section 11A (API and Programmatic Access Abuse)
  • Abuse of the API, desktop application, or any platform feature outside of its intended usage
  • Patterns of behavior that negatively impact other users or the platform's performance
  • Circumventing security measures, rate limits, or access controls
  • Creating multiple accounts to evade enforcement actions

Consequences of Termination

  • Immediate revocation of all access to the Services, including API keys and desktop application licenses
  • Forfeiture of any active subscription with no refund for the current billing period
  • Permanent ban from creating new accounts (enforced by any reasonable means)
  • We may retain records of violations for legal and enforcement purposes

Survival

The following provisions shall survive any termination or expiration of these Terms: Disclaimer of Warranties (Section 15), Limitation of Liability (Section 16), Indemnification (Section 14), Dispute Resolution (Section 17), and any other provisions that by their nature should survive termination.

14. Indemnification

You agree to indemnify, defend, and hold harmless Chaos Constellation LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any investment, trading, or financial decisions you make based on information obtained from the Services
  • Any content you post or transmit through the Services

15. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CHAOS CONSTELLATION LLC DOES NOT WARRANT THAT ANY DATA, CALCULATIONS, PROJECTIONS, OR INFORMATION PROVIDED THROUGH THE SERVICES (INCLUDING BUT NOT LIMITED TO MARKET DATA, OPTIONS PRICING, STRATEGY ANALYSES, AND ALGORITHMIC OUTPUTS IN TRADER) WILL BE ACCURATE, RELIABLE, TIMELY, COMPLETE, OR ERROR-FREE. THE ALGORITHMS AND AUTOMATED SYSTEMS GENERATING CALCULATIONS AND ANALYTICS MAY CONTAIN ERRORS OR BUGS. NO INFORMATION OR DATA PROVIDED THROUGH THE SERVICES IS INTENDED AS OR SHOULD BE RELIED UPON AS INVESTMENT ADVICE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAOS CONSTELLATION LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: INVESTMENT LOSSES OR LOST TRADING PROFITS; LOSSES ARISING FROM DECISIONS MADE BASED ON DATA, CALCULATIONS, OR INFORMATION DISPLAYED IN THE SERVICES; LOSSES CAUSED BY ERRORS OR INACCURACIES IN THE SERVICES' ALGORITHMS, CALCULATIONS, OR DERIVED DATA; LOSSES ARISING FROM RELIANCE ON OUTDATED, DELAYED, OR STALE DATA USED IN CALCULATIONS; AND ANY OTHER DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS OR $50.

17. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Binding Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, INCLUDING THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THIS AGREEMENT TO ARBITRATE, SHALL BE RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS COMMERCIAL ARBITRATION RULES. THE ARBITRATION SHALL TAKE PLACE IN TRAVIS COUNTY, TEXAS. THE ARBITRATOR'S DECISION SHALL BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF COMPETENT JURISDICTION.

Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR CONSOLIDATED OR REPRESENTATIVE PROCEEDING OF ANY KIND.

Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction for claims relating to intellectual property infringement or unauthorized access to the Services. Claims qualifying for small claims court may also be brought in such court.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to brina@chaosintelligenceinc.com within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in Travis County, Texas.

18. Changes to Terms

We may update these Terms. We will notify you of material changes via the app or email. Continued use after changes constitutes acceptance.
